Why a separate guide for online SRL incorporation
Lexter’s blog already covers the general ONRC dossier, registered office, CAEN codes, and 2026 share capital. This guide addresses a different high-volume topic: how to incorporate an SRL entirely online through myportal.onrc.ro without visiting a counter.
Searches for “online SRL incorporation”, “ONRC name reservation”, “qualified electronic signature company”, and “myportal ONRC steps” grew with trade register digitalization. Here you get the end-to-end digital flow — account setup, name reservation, e-signing, and uploads — with pointers to our capital, registered office, and CAEN guides where those topics need depth.
What myportal.onrc.ro is and when online filing applies
MyPortal ONRC (myportal.onrc.ro) is the official online services portal of Romania’s National Trade Register Office. Through it you can run preliminary steps (name availability and reservation) and, in many cases, submit the full SRL incorporation dossier — documents, fee payment, and status tracking.
Online filing requires electronic documents (usually PDF) signed with a qualified electronic signature or, where the platform accepts it, Romanian digital identity (ROeID). Without either, you need an authorized representative with a qualified signature or filing through counter / other ONRC channels.
Qualified e-signature and ROeID: what you actually need
For online submission, ONRC validates signatures on applications and deeds. The signature must be qualified (issued by an accredited provider, legally recognized) — a scanned PDF with a handwritten signature is not enough.
ROeID may be used in certain authentication and signing flows depending on options available at filing time. If you have neither qualified signature nor ROeID, you can still prepare documents (including with Lexter) and have a consultant, lawyer, or other authorized representative file them.
- Before generating final PDFs, confirm all signers (founders, directors) have valid signing tools.
- After signing, do not edit the file — any change invalidates the signature.
- Keep copies of signed documents and portal submission proof.
- If a document is rejected, fix content, regenerate, and re-sign — do not manually patch signed PDFs.
Name reservation: 3 options, 30-day validity
Before incorporation, the SRL name must be checked and reserved. The standard application lists three different names in order of preference. ONRC assigns the first available name under naming rules (distinctive name + “societate cu răspundere limitată” or S.R.L.).
Reservation is an administrative preliminary step; the registrar reviews formal legality when deciding the incorporation application. Under current practice (Law 265/2022), reservation is valid for 30 days — you must file the full dossier within that window or restart the process.
On MyPortal, the flow includes applicant data, legal form selection (SRL), request generation, electronic signing, and submission. The reservation certificate downloads from your account after approval.
Documents to upload online (and where to read details)
The digital dossier contains the same categories as in-person filing, but as electronically signed PDFs. We do not repeat the full dossier guide here — see our ONRC dossier article — but the online upload checklist includes:
- Registration application and related standard forms (e-signed).
- Articles of association / single-shareholder instrument — see our 2026 share capital guide for 500 RON minimum clauses.
- Registered office proof (loan-for-use / lease etc.) — detailed in our registered office article.
- Affidavits, signature specimens where required.
- Beneficial owner declaration — mandatory in current dossiers; data must match founders and directors declared elsewhere.
- CAEN codes and business activity aligned with the articles — see our CAEN guide.
- ID copies of founders and directors per ONRC requirements (format and “true copy” notes if applicable).
Practical MyPortal ONRC steps (2026 checklist)
Exact menu order may shift with portal updates, but the logical flow is:
- Create an account at myportal.onrc.ro (natural or legal person).
- Reserve the name: 3 options, sign and submit; download the reservation certificate.
- Prepare deeds (articles, office, CAEN, capital) — same figures in every document.
- E-sign each required PDF with qualified signature (or ROeID where available).
- Complete the incorporation application in the portal, attach documents and beneficial owner declaration.
- Pay ONRC fees and Official Gazette publication online (current amounts on the official site).
- Track application status; respond to correction requests on time.
- After approval, download the registration certificate and proceed with tax ID, bank account, and capital payments (see share capital guide).
Timelines and costs: online vs counter
Online filing saves travel and allows submission from anywhere, but does not remove legal processing time or registrar review. Many founders report faster outcomes when the dossier is complete and correctly signed — sometimes 1–3 business days — but workload at the territorial office still matters.
Costs include ONRC fees and MO publication (similar to counter filing), plus name reservation fees if applicable. The 500 RON minimum share capital (2026) is not a state fee — it stays with the company. Qualified e-signatures may have annual provider costs; ROeID follows official procedures. There is no fully “free” incorporation if you pay legal fees and minimum capital.
Common online filing mistakes
Digital channels amplify certain errors — avoid these:
- PDFs without qualified e-signature or signed with expired certificates.
- Company name in reservation certificate different from the articles.
- Expired reservation (over 30 days) — rejection or return.
- Illegible uploads, cropped pages, or missing pages.
- Beneficial owner declaration inconsistent with founder data in deeds.
- Share capital below 500 RON in deeds (new SRL, 2026) or mismatched figures between application and articles.
Lexter + MyPortal: document prep, separate filing
Lexter helps structure data and generate typical SRL incorporation documents (founders, office, CAEN, share capital) before MyPortal upload. It does not submit the dossier to ONRC and does not provide qualified e-signatures — those steps remain yours or your representative’s.
Recommended flow: complete data in Lexter, review generated PDFs, e-sign with your tool, then upload to the portal. This reduces transcription errors that trigger correction requests, without implying Lexter replaces the trade register or legal advice.

Frequently asked questions
- Can I incorporate online without a qualified e-signature?
- Full online submission through MyPortal generally requires qualified e-signatures or ROeID on required documents. Without them, you can prepare files digitally but filing happens through an authorized representative or at a counter per ONRC channels.
- How long is the company name reservation valid?
- Under current practice (Law 265/2022), reservation is valid for 30 days. You must file the incorporation dossier within that period or reserve again.
- How is this different from the general ONRC dossier article?
- The dossier article explains document sets regardless of channel. This guide focuses on MyPortal, e-signatures, online name reservation, and upload-specific mistakes.
- How long does online SRL registration take?
- Legal and practical timelines depend on dossier completeness and office workload. A complete, correctly signed file may be processed quickly (sometimes a few business days), but correction requests extend the calendar.
- Does Lexter submit the dossier to myportal.onrc.ro automatically?
- No. Lexter generates and structures SRL documents; you (or your representative) e-sign and submit through the ONRC portal.
